Dutch companies and entities are required to be transparent about who owns and controls them. This is to prevent criminal activity such as money laundering. The natural person who legally owns or controls an organization is called the UBO (Ultimate Beneficial Owner).

Who is an UBO?

The UBO is the natural person(s) who directly or indirectly owns a stake of 25% or more in your company. UBO's are also those individuals who have control over management decisions, either through voting rights or ownership of shares. It's important to note that UBO's do not have to be shareholders themselves; they can also be directors, trustees and so on. The UBO registration process needs to be completed within one month after you register with the Chamber of Commerce (KVK).

If you have registered your company after September 2020, you have probably already registered your company's UBO('s). In case you have registered your company earlier, you should double-check if your UBO's are properly registered.
