VAT Registration (BTW-nummer)

VAT registration is essential for any business that invoices clients or trades goods and services in the Netherlands. Your VAT number allows you to charge VAT on invoices, reclaim VAT on business expenses, and file quarterly VAT returns.

Who needs it: All businesses conducting taxable activities in the Netherlands. Registration is automatic during the BV incorporation process through the Tax Authorities (Belastingdienst).

Timeline: VAT numbers are typically issued within 1-5 business days after KvK registration.

EORI Number (Economic Operators Registration and Identification)

An EORI number is required for any business engaging in import or export activities with countries outside the EU. This unique identification number is used for customs declarations and tracking goods across borders.

Who needs it: Essential for businesses importing goods from outside the EU (including UK post-Brexit), exporting to non-EU countries, or involved in international trade and logistics.

Application: We guide you through the EORI application process with Dutch Customs. The number typically begins with "NL" followed by your KvK number and a suffix.

Industry-Specific Licenses

Transport & Haulage License (Euro License / NIWO Permit)

A large part of the Dutch transport industry is regulated. You will need a haulage license if you want to commercially transport goods or people using Dutch infrastructure.

The most common is the Euro License for road transportation. You need one if you have at least one vehicle with a payload of more than 500 kg. A Euro license applies to domestic and cross-border transport within the European Union and must be renewed every 5 years.

Important: A Euro license requires a registered transport manager. This can be your local manager or an externally hired manager. The transport manager must hold a valid Certificate of Professional Competence (CPC) in road transport.

Import-VAT Deferral License (Article 23 License)

If your business regularly imports goods from outside the EU, an import-VAT deferral license allows you to delay payment of import VAT until your quarterly VAT return, significantly improving cash flow.

Who needs it: Businesses with frequent import activities. Instead of paying import VAT immediately at customs, you report it on your VAT return and can often reclaim it in the same period.

Requirements: Good financial standing, proper accounting systems, and compliance history. We assist with the application to Dutch Customs.

Financial Services Licenses

On Request

You may need a license or registration to trade in financial products or provide financial services. The Financial Supervision Act (Wft) regulates this. You can get a license from De Nederlandsche Bank (DNB) or the Netherlands Authority for the Financial Markets (AFM).

If you provide various kinds of financial services or products, you might need multiple registrations and permits. There are separate licenses for different financial sectors including payment services, investment firms, insurance, and crowdfunding platforms.

Hospitality & Alcohol Licenses

If you plan to operate a restaurant, bar, café, or hotel, you'll need a hospitality permit (horecavergunning). For serving or selling alcoholic beverages, you need an alcohol license (drank- en horecavergunning) from your local municipality.

Requirements: Designated license holders who have passed the Social Hygiene (SVH) exam. Additional permits may be required for terraces, late-night opening hours, or entertainment.

Article 23: The Key Cash Flow Advantage

Normally, you must pay import VAT immediately to customs on every shipment. With Article 23 postponed accounting, you defer this VAT until your quarterly return, where you declare it as both payable and deductible in the same filing.

Result: Zero net VAT payment on imports. For high-volume importers, this can mean keeping hundreds of thousands of euros in working capital instead of paying customs upfront.

Who Needs Fiscal Representation?

Required for non-EU companies that:

  • Import goods into the Netherlands from outside EU
  • Store goods in Dutch warehouses (3PL/fulfillment)
  • Sell/distribute products across EU markets
  • Need VAT registration without local entity

Not required: EU-established companies can register for Dutch VAT and Article 23 directly without a fiscal representative.

What You DON'T Get

Fiscal representation covers VAT/customs only. You cannot:

  • Hire employees in the Netherlands
  • Open a Dutch business bank account
  • Sign contracts as a Dutch legal entity
  • Establish permanent establishment/substance

When to upgrade to BV: Once you need local staff, bank accounts, or formal Dutch presence, we can incorporate a BV and transfer your VAT number seamlessly.

Important Requirements

Security Deposit: €5,000-€10,000 depending on import volume (covers joint VAT liability). Held in escrow, returned when service ends.
Monthly Reporting: You must provide all import documentation, sales invoices, and transaction records by the 10th of each month.
Joint Liability: The fiscal representative is legally liable for your VAT obligations. This is why security deposits and timely reporting are required.
Volume Threshold: If annual turnover exceeds €500,000, fees and security requirements may be adjusted.

You will need an innovative product or service, supported by a solid business plan, sufficient financial resources, and a facilitator. This visa is designed for entrepreneurs with groundbreaking ideas who want to develop their startup in the Netherlands.

EU Blue Card

The EU Blue Card gives highly-qualified workers from outside the EU the right to live and work in an EU country, provided they have higher professional qualifications (such as a university degree) and an employment contract or binding job offer with a high salary compared to the EU average. The EU Blue Card applies in 25 of the 27 EU countries (not Denmark and Ireland).

Self-Employed Visa

The self-employed visa (also known as the self-employment residence permit) is designed for entrepreneurs who want to start or continue their business in the Netherlands as a sole proprietor. This option is particularly relevant for UK entrepreneurs and other non-EU nationals who want to work independently in the Dutch market without incorporating a company.

30% Tax Ruling

While not a visa, the 30% ruling is a valuable tax benefit for highly-skilled migrants moving to the Netherlands. It allows eligible employees to receive 30% of their gross salary tax-free for up to 5 years. We can assist with 30% ruling applications as part of our incorporation and relocation packages.

Accounting Services: Invoiced quarterly (4 payments per year), payable within 14 days of invoice date.

Fiscal Representation: Setup fee invoiced upon engagement. Quarterly compliance fees billed in advance. Security deposit required before VAT registration.

DAFT & Relocation: 50% deposit upon engagement, 50% before final application submission.

What's NOT Included

To maintain transparency, here's what's excluded from our packages:

  • KvK registration fee (€81, invoiced separately to your BV)
  • Bank account opening fees charged by banks
  • Virtual office rental costs (arranged via partners)
  • Apostille/legalization of foreign documents
  • Official translations beyond standard Articles of Association

Refund Policy

If you decide to cancel before the notarial process begins, we'll refund your payment minus a €250 administrative fee to cover initial consultation and document review work. Once the notarial process has started, refunds are not possible as costs have been incurred with our partners.

Frequently Asked Questions

Can I incorporate remotely without visiting the Netherlands?

Yes. We handle the entire process remotely using Power of Attorney, which allows you to sign documents without being physically present. You'll need to provide notarized documents and valid identification, but no travel is required for the incorporation itself. However, you'll eventually need to visit the Netherlands for bank account opening (some banks require in-person meetings) and to collect your BSN if you plan to relocate.

What documents do I need to provide?

For a standard BV incorporation, you'll need:
  • Valid passport or national ID
  • Proof of address (utility bill or bank statement, max 3 months old)
  • Proposed company name and business activities description
  • For corporate shareholders: company registration documents, UBO declarations, and board resolutions
  • For non-EU citizens: residence permit or visa documentation

What's the minimum share capital required?

The legal minimum share capital for a Dutch BV is €0.01 (one cent). However, most businesses set it at €100-€1,000 for practical reasons. The share capital doesn't need to be deposited before incorporation, but it must be paid within a reasonable timeframe after incorporation. For DAFT visa applicants, we recommend €4,500 minimum to meet immigration requirements.

What if I don't have a Dutch address yet?

This is common. We help you through our virtual office partners who provide registered addresses that are accepted by the KvK and banks. We recommend securing an address early in the process, ideally before starting incorporation. We only work with reputable providers whose addresses aren't flagged by authorities.

Should I choose BV incorporation or fiscal representation?

Choose fiscal representation if:
  • You're primarily importing/distributing goods in EU markets
  • You don't need to hire Dutch employees
  • You don't need a Dutch bank account immediately
  • You want to start quickly (2-4 weeks vs 4-8 weeks)

Yes. You can convert a single BV to a holding structure later, or upgrade from fiscal representation to a BV. However, it's more cost-effective to set up the right structure from the start. Restructuring typically requires notarial assistance and costs €800-€1,500+ depending on complexity. When upgrading from fiscal rep to BV, your VAT number can transfer seamlessly to the new entity.

What happens if my bank application is rejected?

Bank rejections happen, especially for non-residents. If one bank rejects you, we'll help you apply to alternative banks. We work with multiple banking partners including traditional Dutch banks and fintech alternatives. Fintech banks (like Bunq, Qonto) typically have faster approval but may have higher fees. Most clients eventually succeed with one of our partner banks, though it may take 2-3 applications.

Do you work with non-EU citizens?

Yes. We regularly assist non-EU entrepreneurs through DAFT (US citizens), startup visas, self-employed visas, and other residence permit routes. The process is more complex for non-EU citizens due to immigration requirements, but we have extensive experience navigating these pathways. Contact us to discuss your specific situation.

How quickly can I start invoicing clients?

With BV: You can technically invoice once you have your KvK number (within 2-3 weeks). However, you'll need a VAT number to charge VAT, and a bank account to receive payments. Realistically, plan for 4-6 weeks before you're fully operational.

With fiscal representation: You can start operations within 2-4 weeks once your VAT and EORI numbers are approved. No Dutch bank account is required—you can use your existing business account.

What support do you provide after incorporation?

Our post-incorporation support includes:
